Terms & Conditions

Effective date: 01/06/2026
Last updated: 01/08/2026

These Terms and Conditions (“Terms”) govern your access to and use of the Indus Corporate website, ESG Vault platform or webpages, content, resources, enquiry facilities, and related digital services (collectively, the “Website”).

The Website is operated by [full registered legal name and entity type], trading as Indus Corporate and providing ESG-related services through ESG Vault (“Indus Corporate,” “ESG Vault,” “we,” “our,” or “us”).

By accessing or using this Website, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please discontinue your use of the Website.

1. About Our Services

Indus Corporate provides corporate advisory, regulatory support, governance, compliance, taxation, finance, business facilitation, and related professional services. Through ESG Vault, we provide or intend to provide services relating to ESG strategy, sustainability reporting, assessments, audits, data management, regulatory readiness, responsible governance, and associated digital solutions.

Descriptions displayed on the Website are provided for general information. The precise scope, deliverables, responsibilities, timelines, fees, and commercial terms of any professional engagement will be set out separately in a proposal, engagement letter, statement of work, subscription agreement, or other written contract.

If these Website Terms conflict with a separately executed client agreement, the client agreement will govern that particular engagement.

2. Eligibility and Authority

You must be legally capable of entering into a binding agreement to use this Website. If you access the Website on behalf of a company or other organisation, you represent that you have authority to act on its behalf and bind it to these Terms where applicable.

You are responsible for ensuring that the information you submit is accurate, current, complete, and lawfully provided.

3. No Professional Advice

The articles, reports, tools, illustrations, regulatory updates, opinions, and other materials presented on this Website are for general informational purposes only.

Nothing on the Website constitutes legal, financial, investment, tax, accounting, regulatory, assurance, certification, or other professional advice. Website content should not be treated as a substitute for advice based on your organisation’s specific circumstances.

Submitting an enquiry, downloading material, subscribing to communications, or using the Website does not by itself create a consultant–client, adviser–client, fiduciary, or other professional relationship.

4. Use of the Website

You agree to use the Website only for lawful purposes. You must not:

  • Violate any applicable law or third-party right

  • Submit false, misleading, unlawful, or unauthorised information

  • Attempt to gain unauthorised access to the Website or connected systems

  • Introduce malware, harmful code, automated attacks, or disruptive technology

  • Copy, scrape, harvest, or extract content or data without written permission

  • Impersonate another person or misrepresent your authority

  • Interfere with the operation, availability, or security of the Website

  • Use our name, content, reports, tools, or branding in a misleading manner

  • Reverse-engineer or reproduce any protected software or digital functionality

We may restrict or block access where we reasonably believe these Terms have been violated or the Website’s security is at risk.

5. Client Information and Responsibilities

Where services are provided, clients are responsible for supplying complete, accurate, timely, and authorised information. Our analysis, recommendations, reports, and deliverables may depend on the information and assumptions supplied by the client or third parties.

Unless expressly agreed otherwise in writing, we are not responsible for errors, delays, or incomplete outcomes caused by inaccurate, withheld, outdated, or late information.

The client remains responsible for its business decisions, statutory filings, disclosures, implementation activities, and compliance obligations. Our advice does not transfer management responsibility to Indus Corporate or ESG Vault.

6. Proposals, Fees and Payments

Fees, taxes, payment milestones, reimbursable expenses, timelines, cancellation terms, and refund conditions will be stated in the applicable proposal, invoice, engagement letter, subscription agreement, or statement of work.

Unless stated otherwise:

  • All applicable taxes and statutory charges are payable in addition to professional fees

  • Work may begin only after written confirmation and receipt of any required advance

  • Invoices must be paid within the period stated on the invoice

  • Delayed payment may result in suspension of services or deliverables

  • Fees for completed work and committed third-party costs are non-refundable

  • Additional work outside the agreed scope may be charged separately with client approval

Online payments, if offered, may be processed by third-party payment providers and may be subject to their own terms and privacy policies.

7. Intellectual Property

Unless expressly stated otherwise, the Website and its contents—including text, graphics, designs, methodologies, software, databases, reports, logos, trademarks, and branding—are owned by or licensed to Indus Corporate and are protected by applicable intellectual-property laws.

You may view and download publicly available material for internal, non-commercial reference. You may not reproduce, modify, publish, sell, distribute, license, or commercially exploit it without prior written permission.

Ownership and permitted use of client-specific reports, software, templates, data, and deliverables will be governed by the applicable engagement agreement.

8. Confidentiality

Information submitted through a general Website form should not be assumed to create a confidential professional relationship. Please avoid submitting sensitive business information until an appropriate confidentiality arrangement or professional engagement is established.

Where we enter into a formal engagement, confidentiality obligations will be governed by the relevant agreement and applicable law.

9. Third-Party Services and Links

The Website may contain links to external websites or use services supplied by hosting, analytics, payment, communication, or technology providers.

External links are provided for convenience only. We do not control and do not necessarily endorse third-party content, availability, security, accuracy, or privacy practices. Your interaction with third-party services is governed by their respective terms and policies.

10. Availability and Modifications

We endeavour to keep the Website accurate, secure, and accessible, but we do not guarantee uninterrupted or error-free availability.

We may change, update, suspend, withdraw, or discontinue any Website content, feature, or service without prior notice. We may also correct errors and update regulatory or technical information whenever necessary.

11. Disclaimers

To the extent permitted by applicable law, the Website and its general content are provided on an “as available” basis without warranties regarding completeness, accuracy, uninterrupted availability, suitability for a specific purpose, or particular commercial or regulatory outcomes.

ESG requirements, laws, standards, reporting frameworks, and regulatory interpretations may change. Users should obtain current professional advice before acting upon Website content.

We do not promise that using our Website or services will guarantee certification, regulatory approval, funding, investment, improved ratings, commercial success, or any particular ESG outcome.

12. Limitation of Liability

To the fullest extent permitted by law, Indus Corporate, ESG Vault, and their owners, directors, employees, consultants, and service providers will not be liable for indirect, incidental, special, punitive, or consequential losses arising from use of, inability to use, or reliance upon the Website.

Nothing in these Terms excludes liability that cannot legally be excluded. Liability arising from a specific professional engagement will be governed by the applicable engagement agreement.

13. Indemnity

To the extent permitted by applicable law, you agree to indemnify Indus Corporate and ESG Vault against losses, claims, liabilities, and reasonable expenses arising from:

  • Your unlawful or unauthorised use of the Website

  • Your material breach of these Terms

  • Information or content submitted by you in violation of another person’s rights

  • Your infringement of intellectual-property, privacy, confidentiality, or other legal rights

This provision does not apply to losses caused by our own unlawful conduct or to the extent prohibited by law.

14. Privacy and Cookies

Our collection and handling of personal information are governed by our Privacy Policy and, where applicable, our Cookie Policy. By using the Website, you acknowledge that you have reviewed those policies.

15. Suspension and Termination

We may suspend or terminate access to the Website where reasonably necessary to:

  • Protect the Website, users, or our systems

  • Address unlawful activity or material violations of these Terms

  • Respond to legal or regulatory requirements

  • Perform maintenance or discontinue a feature or service

Terms concerning intellectual property, confidentiality, liability, indemnity, dispute resolution, and other provisions intended to survive will remain effective after termination.

16. Changes to These Terms

We may revise these Terms to reflect changes in our services, technology, commercial practices, or legal requirements. Revised Terms will be published on this page with an updated date.

Continued use of the Website after publication of revised Terms constitutes acceptance of those Terms, subject to applicable law.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

The parties should first attempt to resolve any dispute through good-faith discussions. If a dispute cannot be resolved within 30 days after written notice, it will be handled using the dispute-resolution procedure specified in the applicable client agreement.

For Website-related disputes not covered by a separate agreement, the courts of competent jurisdiction in Coimbatore, Tamil Nadu, will have jurisdiction, subject to applicable law.

If you prefer arbitration instead, this section should be replaced with a lawyer-approved arbitration clause specifying the seat, language, appointment process, and number of arbitrators under India’s Arbitration and Conciliation Act, 1996. General contractual enforceability in India is governed principally by the Indian Contract Act, 1872.

18. General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision immediately does not waive our right to enforce it later. You may not transfer your rights or obligations under these Terms without our written consent.

These Terms, together with the Privacy Policy and any applicable written engagement agreement, constitute the relevant agreement between you and Indus Corporate concerning use of the Website.
